ARTICLE I
Title and Purpose

Section 1: The name of this Corporation shall be THEATRE PUGET SOUND, hereinafter referred to as "TPS" or "Corporation".

Section 2: To promote the spiritual and economic necessity of theatre to the public, and to unify and strengthen the theatre community through leadership programs, resources, and services.

Section 3: This corporation is organized exclusively for charitable and educational purposes within the meaning of section 501( c ) ( 3 ) of the Internal Revenue Code.

ARTICLE II
Office and Books

Section 1: PRINCIPAL OFFICE. The principal office shall be in the City of Seattle, County of King, State of Washington.

Section 2: OTHER OFFICES. The Corporation may also have other offices, within and without the state of Washington, as the Board of Directors may determine or as the business of the Corporation may require.

Section 3: BOOKS. The Corporation shall keep correct and complete books and records of account and shall also keep minutes of the proceedings of its Board of Directors, and committees having any of the authority of the Board of Directors, and shall keep at the registered or principal office the names and addresses of the Board of Directors entitled to vote. All books and records of the Corporation may be inspected by any member, or its agent or attorney, for any proper purpose at any reasonable time.

ARTICLE III
Fiscal Year

Section 1: The fiscal year of the Corporation shall be January 1 to December 31.
